Needs for my new used Dell?

I just got a Dell GX240 $99 special from ebay. It has a windows 2000 COA and product key on it but no OS is included. I want to run XP Home w/SP2 I think. I know that means I need to buy a full new installation ($90 ebay). I have a Dell resource CD with drivers, utillities and diagnostics.

Do I need something else? Such as a Dell reinstall disk? Any guidance from you guys will be greatly appreciated.
